These Terms of Service constitute a legally binding agreement governing the use of the FriendlyFeat platform.
1. Acceptance of Terms and Right of Withdrawal Waiver
1.1 These Terms of Service (“Terms”) govern access to and use of the FriendlyFeat platform (the “Platform”).
1.2 By accessing, registering for, or using the Platform, the user confirms that they have read, understood, and agree to be legally bound by these Terms.
1.3 If a user does not agree with these Terms, the user must immediately cease using the Platform.
1.4 The Platform is intended for use by individuals who are at least eighteen (18) years of age. If registering on behalf of a Company, Local Government, NGO, School, Club, or other legal entity, the individual user represents and warrants that they have the legal authority to bind that entity to these Terms under the laws of Malta.
1.5 Right of Withdrawal Waiver: For users acting as consumers under EU law: By registering an account and posting or accepting a listing, the user expressly consents to the immediate commencement of the digital service provided by the Platform. The consumer user acknowledges that by providing this consent, they lose their 14-day right of withdrawal under the EU Consumer Rights Directive once the service has been fully or partially performed. This right of withdrawal does not apply to commercial, governmental, or non-profit entities.
2. Nature of the Platform & User Roles
2.1 The Platform operates solely as a passive online noticeboard which enables individuals, households, Companies, Local Governments, NGOs, Schools, and Clubs to post tasks or opportunities (“Taskers”) and individuals or eligible entities willing to perform such tasks (“Taskees”) to connect.
2.2 Entity Restrictions: Companies, Local Governments, and Non-Governmental Organisations (NGOs) are permitted to use the Platform exclusively as Taskers. These entities are strictly prohibited from bidding on, accepting, or performing tasks as Taskees.
2.3 The Platform merely hosts user-generated listings and enables communication between users.
2.4 The Platform is not a contractor, subcontractor, employer, recruitment agency, labour provider, broker, representative, insurer, or partner/joint venture participant.
3. Entity Subscriptions
3.1 Registration and use of the Platform as a Company, Local Government, or NGO requires an active, paid subscription.
3.2 Subscription fees are billed in advance on a recurring basis (e.g., monthly or annually) as selected during registration.
3.3 Unless cancelled prior to the end of the current billing cycle, subscriptions will automatically renew.
3.4 Subscription fees are non-refundable. The Platform does not provide refunds or credits for partially used billing periods.
3.5 The Platform reserves the right to modify subscription fees with prior notice. Continued use of the Platform after a fee change constitutes agreement to the new pricing.
4. Bidding, Contract Formation, and Task Types
4.1 Bidding: Taskees may submit bids on open tasks indicating the amount for which they are willing to complete the work. Bids represent a binding offer to the Tasker.
4.2 Contract Formation: A legally binding contract is formed directly and exclusively between the Tasker and the Taskee the moment a Tasker accepts a bid. The Platform is not a party to this contract.
4.3 Group Tasks: Certain tasks may require multiple Taskees. Acceptance of a bid on a Group Task forms a contract only with that specific Taskee, independent of others.
4.4 Volunteer Tasks: Tasks designated as “Volunteer” do not involve financial compensation or bidding. Users engaging in Volunteer Tasks do so at their own volition and risk.
5. Ratings and Reviews
5.1 Upon completion of a task, users may submit a star rating and written review regarding their experience with the other party.
5.2 Reviews must be honest, factual, and directly related to the task performed.
5.3 Users are prohibited from manipulating the rating system, extorting other users for positive reviews, or posting defamatory, abusive, or discriminatory content.
5.4 The Platform reserves the right, but not the obligation, to remove or modify reviews that violate these Terms or applicable laws.
6. Communications and Moderation
6.1 The Platform provides a private messaging system for users to communicate regarding accepted tasks.
6.2 Users agree to use the messaging system respectfully and strictly for task-related coordination.
6.3 To ensure safety and compliance with these Terms, the Platform allows users to flag or report inappropriate messages. The Platform and its administrators reserve the right to access, review, pause, or archive any flagged conversations.
7. Independent Status of Users
7.1 All Taskees operate as independent parties.
7.2 Nothing contained within the Platform or these Terms creates any employment relationship, worker relationship, agency relationship, partnership, or joint venture between the Platform and any user or entity.
7.3 Taskees (and Taskers where applicable) are solely responsible for income tax, corporate tax, National Insurance contributions, employer obligations, VAT registration (where applicable), obtaining necessary licences or trade registrations, maintaining appropriate insurance coverage, and complying with all applicable Maltese and European Union laws.
7.4 The Platform bears no responsibility for worker classification, corporate compliance, or regulatory compliance.
8. Payments and Financial Arrangements
8.1 All payments for tasks are agreed directly between users.
8.2 The Platform does not process payments, hold funds, provide escrow services, guarantee payment, or mediate financial disputes.
8.3 Users assume full responsibility for any financial arrangements entered into.
8.4 The Platform bears no responsibility for non-payment, delayed payment, payment disputes, or fraud relating to payments.
9. Regulated and Skilled Work Disclaimer
9.1 Tasks arranged through the Platform may involve regulated or skilled activities, including but not limited to electrical work, plumbing, gas installation or maintenance, roofing, structural alterations, or installation of mechanical systems and appliances.
9.2 Such activities may involve significant safety risks.
9.3 The Platform does not verify professional qualifications, trade licenses, insurance coverage, regulatory compliance, or technical competence of any individual or entity.
9.4 Users are solely responsible for ensuring that any regulated work complies with applicable Maltese law and European Union regulations.
9.5 The Platform bears no responsibility for unlawful or improperly performed regulated work.
10. Assumption of Risk and Safety
10.1 Users voluntarily assume all risks associated with tasks arranged through the Platform, including risks arising from user negligence, unsafe premises, or defective tools.
10.2 Taskers are responsible for ensuring that their premises are reasonably safe and must disclose known hazards relevant to the task.
10.3 Taskees must independently assess whether they possess the necessary competence to perform a task safely and must refuse any task they believe to be unsafe.
10.4 Where a Tasker specifies that tools are required, the Taskee is responsible for providing their own safe and suitable equipment.
11. Acceptable Use and Digital Services Act (DSA) Compliance
11.1 Users agree not to post illegal tasks, request unlicensed regulated work, post misleading listings, impersonate another entity, harass other users, upload unlawful content, or disrupt the Platform.
11.2 Content Moderation & Flagging: In compliance with the EU Digital Services Act, users may flag illegal content or content that breaches these Terms by contacting the Platform’s designated point of contact. The Platform reserves the right to moderate, suspend, or remove any content that violates these rules or applicable law, without prior notice.
11.3 Single Point of Contact: For all regulatory inquiries and user reports regarding illegal content, the Platform can be contacted at thias@friendlyfeat.com.
12. User Content
12.1 Users remain responsible for any content they post on the Platform.
12.2 By posting content, users grant the Platform a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute such content for the purpose of operating the Platform.
13. Account Security and Termination
13.1 Users are responsible for maintaining the confidentiality of their account credentials.
13.2 Termination & Suspension: The Platform reserves the right to suspend or terminate any user account immediately, archiving active tasks and bids, if the user breaches these Terms, engages in fraudulent activity, poses a safety risk, or disrupts the operation of the Platform.
14. Intellectual Property
14.1 All intellectual property rights relating to the Platform remain the property of Kittitude Labs Limited, Malta.
15. Limitation of Liability
15.1 To the maximum extent permitted by Maltese law, the Platform shall not be liable for personal injury, death, property damage, financial loss, fraud, theft, regulatory violations by users, poor workmanship, or indirect damages.
15.2 Nothing in these Terms excludes liability where such exclusion is prohibited under Maltese law.
15.3 To the extent that liability cannot be excluded, the total aggregate liability of the Platform shall not exceed €100 in total.
16. Indemnity
16.1 Users agree to indemnify and hold harmless the Platform and its owner from any claims, damages, losses, liabilities, and legal expenses arising from tasks arranged through the Platform, user negligence, regulatory breaches, payment disputes, or breach of these Terms.
17. User Disputes
17.1 Any disputes between users must be resolved directly between those users.
17.2 The Platform is under no obligation to mediate or intervene in disputes.
18. Data Protection
18.1 Personal data is processed in accordance with the Platform’s Privacy Policy and the General Data Protection Regulation (GDPR).
19. Governing Law, Jurisdiction, and Severability
19.1 These Terms are governed by the laws of Malta.
19.2 Any dispute arising from these Terms shall fall under the exclusive jurisdiction of the Courts of Malta.
19.3 If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remainder of these Terms shall continue in full force and effect.
